These Terms of Service (“Terms”) govern your use of TokenTempo’s website and services. By using TokenTempo, you agree to these Terms.
1. What TokenTempo Is
TokenTempo is a software service that helps founders form Montana C Corporations and generate template founding documents. TokenTempo is not a law firm, does not provide legal advice, and does not establish an attorney-client relationship.
2. Not Legal Advice
All documents provided by TokenTempo are templates. You are solely responsible for reviewing every document with a licensed attorney before relying on it, filing it, or executing it.
3. Your Obligations
You represent that the information you provide is accurate and that you have the authority to form the corporation described in your application.
4. Fees and Refunds
Fees are charged at checkout. Refund eligibility is limited to services not yet begun — once we initiate the Montana Secretary of State filing on your behalf, fees become non-refundable.
5. Form D and State Blue Sky Filings
Form D. When you open a 506(b) round through TokenTempo, we file Form D with the SEC within 5 business days of your first sale (the SEC requires within 15 days; we publish a 5-business-day commitment to you). In Phase 1A this is admin-coordinated; in Phase 1B the platform automates it.
State Blue Sky filings. State-level Reg D notice filings are required per investor jurisdiction (most states $150–$300, due 15 days post-sale). State Blue Sky requirements vary materially across jurisdictions and many states require a licensed attorney in that state to prepare and submit the notice. TokenTempo does not directly file Blue Sky notices on your behalf. Instead, when you open your round, the platform identifies the states implicated by your investor list and connects you with a vetted securities attorney licensed in each required state. State filing fees and attorney fees are passed through to you at cost; Houston surfaces a real cost estimate before you open your round based on your investor jurisdiction map. The platform tracks the 15-day post-sale timing requirement and surfaces a countdown so the attorney engagement and filing complete on time.
6. Founding Cohort Subscription Price Lock
Eligibility.If you are within the first 100 founders to complete formation through TokenTempo (the “Founding Cohort”), your monthly subscription price is locked at the rate disclosed at signup ($29/month as of the date of these Terms) for the lifetime of your TokenTempo account. This rate applies regardless of which path (Express or Build) you select at checkout, and regardless of any standard subscription price changes TokenTempo may publish for non-cohort founders in the future.
Acquisition survival.In the event TokenTempo, Inc. is acquired, merged, sold, or otherwise transferred to a successor entity, the Founding Cohort price lock survives the change of control. The successor entity is contractually bound to honor the locked rate for the remaining lifetime of the founder’s account, on the same terms as TokenTempo. We treat this commitment as a binding condition of any change-of-control transaction.
Exit conditions. Your Founding Cohort lock terminates only if (a) you voluntarily cancel your TokenTempo subscription, OR (b) you fail to maintain payment for two consecutive billing cycles, in which case re-enrollment is at then-current standard rates with no retroactive lock.
No retroactive change. TokenTempo cannot retroactively raise the locked rate for a Founding Cohort member. Future standard rate changes apply only to non-cohort founders or to new sign-ups after the cohort closes (cohort #101 onward).
Note for non-cohort founders: If you signed up after the Founding Cohort closed (cohort #101 onward), your subscription is at the then-current standard rate ($49/month as of the date of these Terms) and is not subject to the Founding Cohort lock above. Standard rates may change with advance notice.
7. Limitation of Liability
TokenTempo’s total liability to you is limited to the amount you paid for the service.
8. Changes
We may update these Terms from time to time. Continued use of the service constitutes acceptance of the updated Terms.
